These Additional Terms of Use for our Self-Hosted Solution (the “Additional Terms”) incorporates by reference all provisions of the standard Terms of Service (the “Standard Terms”) of PropelAuth, Inc., found here. In the event of any conflict between the terms of these Additional Terms and the Standard Terms, the terms of these Additional Terms shall be controlling in all matters concerning your use of our Self-Hosted Solution. By completing the ordering process for the Self-Hosted Solution, clicking an associated “I AGREE” button, and/or using, accessing, registering, downloading or installing the Self-Hosted Solution, you are indicating that you agree to be bound by all of the terms in these Additional Terms, as well as all of the Standard Terms (except to the extent of conflict between Standard Terms and these Additional Terms). You agree your use of the Self-Hosted Solution is not contingent on the delivery of any future functionality or features or dependent on any oral or written public comments made by the Company or any of its affiliates regarding future functionality or features. Unless defined otherwise herein, all capitalized terms used in these Additional Terms shall have the meanings ascribed to such term in the Standard Terms.
As used herein, the “Self-Hosted Solution” means any components of our Software that will be installed and hosted on your Equipment (including, but not limited to, the Equipment of your End Customers), as expressly authorized in your order form during the Term.
1. License
Subject to the terms and conditions of these Additional Terms, Company hereby grants Customer during the Term a limited, non-exclusive, non-transferable, non-sublicensable, license to install and execute the Self-Hosted Solution on Customer’s Equipment for Customer’s internal business purposes in accordance with the parameters stated in Customer’s order form. For the sake of clarity, Customer’s internal use of the Self-Hosted Solution may also include use and installation of the Self-Hosted Solution by Customer’s End Customers, but only to the extent: (i) such Self-Hosted Solution has been actually integrated into Customer’s Product as an incidental component of Customer’s Product, and not on a standalone basis, (ii) such End Customers have executed in writing an agreement with Customer containing binding confidentiality, use and disclosure restrictions at least as protective as those set forth herein, and (iii) such Self-Hosted Solution is otherwise used only as permitted in these Additional Terms and Customer’s order form.
2. Delivery, Acceptance, and Installation of Self-Hosted Solution
Company will deliver to Customer a license key prior to the commencement of the service dates which Customer may use to access the Self-Hosted Solution. Customer is solely responsible for installation of the Self-Hosted Solution in accordance with the documentation and installation instructions provided by Company (the “Documentation”), data conversion, data entry and verification of data. Delivery of the Self-Hosted Solution will be deemed complete upon the Company’s delivery of the license key to Customer. It is the responsibility of Customer to provide the operating environment, any other Equipment required to operate the Self-Hosted Solution, proper configuration of all hardware and other Equipment, and all databases and other software used with the Self-Hosted Solution. COMPANY SHALL NOT BE RESPONSIBLE FOR ANY FAILURE OF THE SELF-HOSTED SOLUTION BASED ON THE CUSTOMER’S INSTALLATION, OPERATING ENVIRONMENT AND THIRD PARTY SOFTWARE INCLUDING, BUT NOT LIMITED TO, VIRTUAL MACHINES, LIBRARIES AND/OR HARDWARE.
3. System Tampering
If the Customer notifies the Company of a material error or malfunction in the Self-Hosted Solution which, after investigation by the Company, is determined to have been caused by Customer’s unauthorized modifications, any Self-Hosted Solution warranties, expressed or implied are void. Customer shall reimburse the Company, at its then current rates, for all costs incurred by the Company in investigating and correcting such error or malfunction, and Company, upon written notice to Customer, may terminate these Customer’s access and license to use the Self-Hosted Solution.
4. Support Services
These Additional Terms do not include support, configuration or customization of the Self-Hosted Solution to Customer’s Equipment, specifications, or any other services. Company may request and obtain support services pursuant to an order form, and may be subject to the payment of additional Fees set forth in such order form.
5. Company’s Limited Access to Self-Hosted Data
For the sake of clarity, and notwithstanding anything to the contrary contained in the Standard Terms (including, but not limited to, Section 4.4 of the Standard Terms), Company’s ability to view or access Customer Data stored or hosted on the Self-Hosted Solution (“Self-Hosted Data”) is extremely limited. Specifically, Company will only be able to access a Customer’s Self-Hosted Data in the following situations: billing, fraudulent use detection, license server use and IP addresses. In addition, Company may create and access aggregated data (for example, the number of SCIM connections but no details about the connections themselves) and hashed database identifiers.
6. Audit
During the Term and for one (1) year thereafter, upon thirty (30) days written prior notice Company will have the right to have an independent audit firm inspect Customer’s records relating to Customer’s use of the Self-Hosted Solution solely in order to verify Customer’s compliance with the terms and conditions of these Additional Terms. The audit will be performed during Customer’s normal business hours, and Customer shall make reasonable accommodations to provide representatives or employees of such audit firm access to the Customer’s facilities and records in order to complete such audit. The costs of the audit will be paid by Company, unless the audit reveals that Customer has (a) failed to comply with the terms and conditions of these Additional Terms, or (b) underpaid the amounts owed to Company by five percent (5%) or more, in which case Customer will reimburse Company for all reasonable out-of-pocket costs and expenses reasonably incurred by Company in connection with such audit. Customer will promptly pay to Company any amounts shown by any such audit to be owing and due. In addition, the Self-Hosted Solution may report certain details regarding certain usage to Company, and Customer will not interfere with such reporting.
